These Terms of Service ("Terms") govern your use of ReplyScout ("the Service") operated by Issoudun Pte Ltd ("we", "us", or "our").

1. Acceptance of Terms

By accessing or using ReplyScout, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

ReplyScout is an AI-powered tool that integrates with Help Scout to generate draft responses ("AI Drafts") for customer support tickets. The Service:

  • Detects customer intent from incoming messages
  • Generates draft responses based on your Knowledge Base and Ticket Memory
  • Executes automated Playbooks based on configured rules
  • Saves drafts as internal notes in Help Scout for human review

3. Help Scout Integration

ReplyScout requires an active Help Scout account to function. You are responsible for:

  • Maintaining your Help Scout subscription
  • Authorizing ReplyScout to access your Help Scout data
  • Complying with Help Scout's terms of service

4. AI Limitations and Disclaimers

ReplyScout uses artificial intelligence to generate draft responses. You acknowledge that:

  • AI may produce inaccurate content: Large language models can "hallucinate" or generate incorrect, misleading, or inappropriate content
  • Human oversight is essential: You must review all AI Drafts before sending
  • No guarantee of accuracy: We do not guarantee that AI-generated content will be accurate, complete, or appropriate for your use case
  • Your responsibility: You are solely responsible for all content sent to your customers

5. Data Ownership

You own your data. All conversation data, thread content, and embeddings derived from your Help Scout account remain your property. We do not claim ownership of any content you provide or generate through the Service.

6. Service Availability

No SLA guarantees. While we strive to maintain high availability, we do not guarantee specific uptime percentages or response times. The Service is provided "as is" without warranties of uninterrupted access.

7. Subscription and Billing

  • Pricing: Current pricing is available at replyscout.com/pricing
  • Billing: Subscriptions are billed monthly in advance
  • Cancellation: You may cancel at any time; access continues until the end of the billing period
  • No refunds: We do not provide refunds for partial months or unused drafts

8. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Share your account credentials with unauthorized users
  • Exceed your subscription's draft limits through automated means
  • Use the Service to generate spam, fraudulent, or deceptive content

9. Limitation of Liability

To the maximum extent permitted by law, Issoudun Pte Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

10. Indemnification

You agree to indemnify and hold harmless Issoudun Pte Ltd and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
